NovaAffiliates – Affiliate Program

Introduction

This is an agreement ("Affiliate Agreement" / "Agreement") between you ("you", "Affiliate" or "Member") and NovaAffiliates ("Company", "we", "us").

By registering for the NovaAffiliates program, and by accessing or using any of our marketing tools or accepting any reward, bonus or commission under this Affiliate Agreement or elsewhere on our site, you are deemed to have read, understood and agreed to be bound by these Terms and Conditions.

NovaAffiliates operates the official affiliate program for multiple gaming brands, including SlotMaster and Betiro (collectively, the "Brands"). These Terms and Conditions govern your participation across all current and future Brand(s) operated under the NovaAffiliates program.

We may periodically update this Agreement. While we will use reasonable efforts to notify you of material changes, we recommend that you revisit this page regularly. Your continued participation after any update constitutes acceptance of the revised Agreement.

2. PARTICIPATION AND ENROLMENT

To enroll, you must submit a complete NovaAffiliates Affiliate Application.

We may reject any application, including where the Affiliate Website is:

• under construction or incomplete;
• aimed at children or minors;
• promoting sexually explicit materials, violence or discrimination;
• promoting illegal activities; or
• infringing intellectual property rights or otherwise unsuitable.

You must be of legal age and have full legal capacity to enter into this Agreement. NovaAffiliates may request KYC/AML documentation at any time before or during the term.

The Affiliate Program is intended for direct participation. Opening or brokering accounts for third parties is prohibited.

3. COMMISSIONS

3.1 Standard Revenue Share Commission

Referral commission is calculated as the applicable percentage of Net Revenue generated by referred players across all Brand(s) promoted via NovaAffiliates.

3.2 No Negative Carryover & High Roller Policy

• Negative balances are not carried forward.
• If a player wins over €10,000 in a single month, that player is a High Roller.
  • The negative Net Revenue from that High Roller may be carried forward and offset only against future positive revenue from the same player.
  • It will not offset other players' revenue.

3.3 CPA / Hybrid Plans

CPA or hybrid structures apply only if agreed in writing.

Players involved in fraud, bonus abuse, chargebacks, or self-exclusion are excluded from CPA payments. NovaAffiliates does not pay for incentivised traffic or brand-bidding traffic.

3.4 Calculation and Payment

• Calculated monthly in EUR using MyAffiliates data.
• Minimum payout: €500 (five hundred euros).
• Payouts only against a valid invoice.
• Balances below €500 carry forward until threshold is reached.
• Payment normally by the 20th of the following month, after invoice and KYC verification.
• Payment methods: bank transfer or other methods offered by NovaAffiliates.
• Payment provider fees may be deducted.
• Amounts are exclusive of VAT/taxes; the Affiliate is responsible for any taxes due.

Disputes:

Affiliates must notify NovaAffiliates within 30 days of any discrepancy. Otherwise, the balance is deemed accepted.

If there is any discrepancy between the Affiliate's view and MyAffiliates' backend data, the backend data prevails.

4. MINIMUM PERFORMANCE & INACTIVE ACCOUNTS

If the Affiliate does not refer at least one (1) Real New Unique Player in any continuous period of 180 days, NovaAffiliates may:

• terminate the account; and/or
• reset commission balance to zero, forfeiting unpaid commissions.

5. UNCLAIMED COMMISSIONS

Unpaid commissions (e.g. due to missing invoice or payment details) may be forfeited at year-end, with the balance reset to zero.

NovaAffiliates will attempt contact before doing so, but it is the Affiliate's responsibility to maintain up-to-date contact and payment information.

6. AFFILIATE OBLIGATIONS

The Affiliate agrees to:

• actively and professionally market the Brand(s);
• use only NovaAffiliates-approved materials;
• comply with all applicable laws and Brand T&Cs;
• avoid targeting minors or vulnerable individuals;
• avoid misleading, unlawful or unethical marketing.

Prohibited activities:

• Spam or unsolicited communications;
• Fraudulent or artificial traffic (bots, self-registrations, cookie-stuffing);
• Registering as a player personally or through associates;
• Use of domain names, PPC keywords or social handles including or resembling "SlotMaster", "Betiro", or "NovaAffiliates";
• Media buying or programmatic campaigns without prior written approval;
• Direct linking from social media to Brand sites (must link via Affiliate's own site);
• Pop-ups, pop-unders, or framing.

Affiliates must comply with each Brand's own Terms & Conditions, including any country restrictions listed there.

7. MARKETING MATERIALS

NovaAffiliates and/or its Merchant(s) will provide approved banners, links, and creatives for SlotMaster, Betiro, and any other Brand under the program.

Affiliates may not modify creatives or create new ones using Brand logos or trademarks without written approval.

All IP rights remain with NovaAffiliates and/or the Merchant.

8. SPAM POLICY

NovaAffiliates does not condone spam. Any form of spam or unsolicited communication linked to your activity will result in immediate account closure and forfeiture of funds.

Merchants' costs for handling spam complaints may be deducted from your balance.

9. CONFIDENTIALITY AND DATA PROTECTION

Each party may receive confidential or proprietary information. Both agree to:

• protect such information with at least reasonable care;
• use it only for purposes of this Agreement;
• limit disclosure to personnel on a need-to-know basis.

These obligations survive termination.

Each party acts as an independent data controller for any Personal Data it processes.

The Affiliate is solely responsible for compliance with GDPR and e-privacy laws on its own websites, including valid cookie consent and privacy notices.

The Affiliate will not access personal data of Brand customers beyond aggregated data visible in MyAffiliates.

Upon termination, the Affiliate must delete or return all confidential or personal data belonging to NovaAffiliates or the Merchant.

10. TERM AND TERMINATION

• This Agreement starts when your Affiliate Application is approved and you begin using Links.
• Either party may terminate at any time, for any reason, by email notice.
• NovaAffiliates may suspend or terminate immediately for breach, fraud, or reputational risk.

Upon termination:

• Remove all Brand materials and disable all Links.
• All rights and licences end immediately.
• You are entitled only to unpaid commissions earned up to the termination date.
• No commission accrues after termination.
• NovaAffiliates may withhold funds if the account was terminated for breach.

Termination does not affect liabilities or confidentiality obligations accrued prior to termination.

11. LIABILITY AND INDEMNITY

To the fullest extent permitted by law:

• Neither party is liable for indirect, special or consequential damages, or loss of profits, revenue or data.
• NovaAffiliates provides no warranty that its sites, tracking or Brands will operate without interruption or error.

The Affiliate shall indemnify NovaAffiliates, its Merchants, and their officers and employees against any loss, damage, cost or claim arising from:

• the Affiliate's breach of this Agreement;
• the Affiliate's marketing materials or conduct; or
• infringement of any third-party rights.

12. ASSIGNMENT AND RELATIONSHIP

You may not assign or transfer this Agreement without prior written consent.

NovaAffiliates may assign it to an affiliate or successor entity.

The parties are independent contractors — not partners, joint venturers or agents.
